Prime Bunny Terms of Service

These Terms of Service (the “Agreement”) outline the terms and conditions governing your access and use of pab.finance and any related subdomains (collectively referred to as the “Website”). Please read this Agreement carefully as it dictates your use of the Website. By accessing or using the Website, you acknowledge that you have read, understood, and agree to abide by this Agreement in its entirety. If you do not agree, you are not authorized to access or use the Website and should refrain from doing so.

NOTICE: This Agreement includes critical information, including a binding arbitration provision and a class action waiver, both of which affect your legal rights regarding dispute resolution. You may only access the Website if you fully agree to these terms.

Introduction

The Website facilitates access to (a) a decentralized protocol available on various public blockchains, such as BNB Chain, Aptos, and Ethereum, enabling users to trade compatible digital assets (referred to as “the Prime Bunny Protocol” or “the Protocol”), among other services. The Website is one of the means, but not the only way, to access the Protocol.

To use the Website, you must connect a non-custodial wallet software that allows interaction with public blockchains. Your relationship with the non-custodial wallet provider is governed by the terms and conditions of that third-party service, not this Agreement. Prime Bunny does not operate, maintain, or affiliate with these wallets, nor do we have custody or control over their contents. By connecting your wallet to our Website, you agree to the terms outlined in this Agreement and those incorporated by reference.

Modification of this Agreement

We reserve the right to amend this Agreement at our sole discretion. If any substantial changes are made, we will notify you by updating the date at the top of this Agreement and maintaining an updated version on the Website at pab.finance/Terms. Modifications take effect upon posting, and your continued use of the Website confirms your acceptance of the changes. If you disagree with any changes, you must immediately discontinue using the Website.

Description of Services Provided Through the Website

The Website provides a web and mobile-based interface for accessing the Protocol.

Website for Accessing the Protocol

The Website serves as a distinct and optional interface to the Protocol. The Protocol itself operates in three versions: v1, v2, and v3. These versions consist of open-source or source-available smart contracts deployed across various public blockchains, such as BNB Chain, Aptos, and Ethereum. Prime Bunny does not control or operate any version of the Protocol on any blockchain network. By using the Website, you acknowledge that you are not trading digital assets with Prime Bunny and that Prime Bunny does not manage any liquidity pools or execute trades on the Protocol. Fees associated with trades are directed to liquidity providers within the Protocol, who act as independent third parties. Prime Bunny, as a platform, does not typically act as a liquidity provider. The Protocol was initially deployed on the BNB Chain blockchain and has since been extended to other public blockchains.

Eligibility

To access or use the Prime Bunny platform, you must have the legal capacity to enter into a binding agreement. By accessing or using Prime Bunny, you affirm that you meet the age of majority in your jurisdiction (e.g., 18 years old in most regions) and possess the authority to agree to and abide by these terms on your own behalf or on behalf of any company or entity you represent.

You also confirm that you are not (a) subject to economic or trade sanctions imposed by any government authority or listed on any prohibited or restricted parties lists (including, but not limited to, the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury), or (b) a citizen, resident, or entity based in a region subject to comprehensive sanctions by the United States or other applicable jurisdictions. Furthermore, you agree that your use of Prime Bunny will comply with all relevant laws and regulations, and you will not use Prime BunnywPrime Bunnyap for any illegal purposes.

Intellectual Property Rights

Prime Bunny owns all intellectual property and other rights in its platform and its contents. This includes, but is not limited to, software, text, images, trademarks, service marks, copyrights, patents, designs, and the overall design and functionality of the platform. However, earlier versions of the Protocol (versions 1-3) consist solely of open-source or source-available software operating on public blockchains.

When you use Prime Bunny to list, post, promote, or display NFTs, you provide us with a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display your content. This includes, but is not limited to, text, images, files, communications, feedback, suggestions, ideas, concepts, and data for our current and future business purposes, such as enhancing our services. This also applies to any digital files, art, or materials linked to or associated with NFTs displayed on the platform.

By submitting such content, you represent and warrant that you have secured all necessary rights, permissions, and licenses to grant us this license. You further confirm that the content you share does not infringe on any copyrights, trademarks, publicity rights, or other intellectual property rights unless you are legally entitled to use and share it.

Additional Rights

We retain certain rights with respect to the Prime Bunny platform, which include, but are not limited to: (a) modifying, updating, or discontinuing any part of the platform with or without prior notice; (b) reviewing, modifying, removing, or disabling any content shared on the platform; and (c) cooperating with law enforcement, courts, or governmental requests, including disclosing any user-provided content or information when legally required.

Prohibited Activity

When using Prime Bunny, you agree to refrain from engaging in or attempting any of the following prohibited activities:

• Intellectual Property Infringement. Engaging in activity that infringes upon or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law.
• Cyberattack. Conducting activities that interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or information technology system, including (but not limited to) deploying viruses or performing denial-of-service attacks.
• Fraud and Misrepresentation. Engaging in activities aimed at defrauding Prime Bunny or any other person or entity, including providing false, inaccurate, or misleading information to unlawfully obtain the property of another.
• Market Manipulation. Conducting activities that violate laws, rules, or regulations related to trading markets, such as manipulative practices like "rug pulls," pumping and dumping, or wash trading.
• Securities and Derivatives Violations. Participating in activities that breach laws or regulations concerning the trading of securities or derivatives, including unregistered offerings of securities and offering leveraged or margined commodity products to retail customers in jurisdictions where such practices are restricted.
• Sale of Stolen Property. Engaging in the buying, selling, or transferring of stolen items, fraudulently obtained items, items taken without authorization, or any other illegally obtained property.
• Data Mining or Scraping. Using data mining, robots, scraping, or similar methods to gather or extract content or information from the Prime Bunny platform.
• Objectionable Content. Sharing or soliciting content that includes, but is not limited to, material that is harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, discriminatory, or otherwise objectionable. This also includes soliciting information from anyone under the age of 18.
• Any Other Unlawful Conduct. Participating in any activity that violates applicable laws, rules, or regulations of the United States or any other relevant jurisdiction, including restrictions and regulatory requirements imposed by applicable laws.

Initial Token Offering

You represent that you are not a resident or user from the following countries or regions when participating in our Initial Token Offerings:

Belarus, Cuba, Crimea Region, Democratic Republic of Congo, Iran, Iraq, New Zealand, North Korea, South Sudan, Sudan, Syria, United States of America and its territories (American Samoa, Guam, Puerto Rico, the Northern Mariana Islands, and the U.S. Virgin Islands), Zimbabwe.

Not Registered with the SEC or Any Regulatory Agency

We are not registered with the U.S. Securities and Exchange Commission or any other regulatory agency. You understand and acknowledge that we do not act as a broker for trading orders or facilitate the execution or settlement of trades. All transactions occur directly on public distributed blockchains such as Ethereum. As such, we do not guarantee market-best pricing or execution through the Prime Bunny platform, including any Smart Router feature. Any references to “best price” are informational and not a warranty.

Non-Solicitation; No Investment Advice

You agree and understand that: (a) All trades initiated through the Prime Bunny platform are considered unsolicited and solely initiated by you; (b) You have not received investment advice from us regarding any trades; (c) We do not perform suitability reviews for trades submitted by you.

The Prime Bunny platform may provide token-related information from third-party data sources, including rarity scores, token explorers, or curated token lists. Such information is strictly for informational purposes and does not constitute investment advice or recommendations. You are solely responsible for evaluating the suitability of any investments based on your financial circumstances, objectives, and risk tolerance.

Non-Custodial and No Fiduciary Duties

The Prime Bunny platform is non-custodial, meaning we do not have possession or control of your digital assets at any time. You are fully responsible for the custody of private keys to your wallets and must safeguard your credentials. We accept no liability for wallet security breaches or unauthorized access.

This Agreement does not establish fiduciary duties. To the fullest extent permissible by law, we disclaim any fiduciary responsibilities or obligations, and our relationship is limited to those expressly stated in this Agreement.

Compliance and Tax Obligations

The Prime Bunny platform may not be available or appropriate for use in your jurisdiction. By using the platform, you acknowledge sole responsibility for complying with local laws and regulations

Use of the Prime Bunny platform may have tax implications, including income tax, capital gains tax, VAT, or other applicable taxes. You are solely responsible for determining and fulfilling your tax obligations.

Risk Acknowledgment

By using the Prime Bunny platform, you affirm that you possess the financial and technical understanding to navigate blockchain-based systems and digital assets. You acknowledge the risks associated with nascent and volatile markets, including but not limited to speculation, security, technology, and regulatory uncertainties.

ou accept that blockchain-based transactions are irreversible upon confirmation and that transaction costs (Gas Fees) may fluctuate. You understand the risks of using features such as Expert Mode, which may involve significant price slippage and higher costs. If you act as a liquidity provider, you acknowledge the potential for value fluctuations or loss of your assets.

We do not operate cross-chain bridges or guarantee their safety or functionality. You assume full responsibility for risks associated with cross-chain activities.

Third-Party Resources and Promotions

The Prime Bunny platform may link to or reference third-party resources, including external promotions or services. We do not endorse or assume responsibility for third-party resources or promotions. Access or participation in these resources is at your own risk, and this Agreement does not govern your interactions with third parties.

Release of Claims

You agree to assume all risks associated with using the Prime Bunny platform and expressly release us from liability for any claims, damages, or losses arising from its use. If you are a California resident, you waive protections under California Civil Code § 1542.

Indemnity

You agree to indemnify and hold harmless Prime Bunny, its affiliates, and representatives from claims, damages, or losses arising from your use of the platform, violation of this Agreement, or third-party access via your account or devices.

No Warranties

The Prime Bunny platform is provided “AS IS” and “AS AVAILABLE.” To the maximum extent allowed by law, we disclaim all warranties, including merchantability and fitness for a particular purpose. We do not guarantee uninterrupted, timely, or secure access, or the accuracy of information provided on the platform.

Limitation of Liability

Prime Bunny and its affiliates are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or other intangibles arising from your use of the platform. We are not responsible for unauthorized access, service interruptions, or third-party conduct.

Class Action and Jury Trial Waiver

All claims must be pursued individually and not as part of a class or collective action. Both parties waive the right to a jury trial.

Governing Law

This Agreement is governed by the laws of Hong Kong. Disputes will be resolved under Hong Kong jurisdiction, and the platform’s availability does not establish jurisdiction elsewhere.

Entire Agreement

This document constitutes the entire agreement between you and Prime Bunny, superseding prior communications or understandings.

Gas Fees

Gas Fees Blockchain transactions involve Gas Fees payable to the relevant network. You are solely responsible for paying Gas Fees for transactions initiated through the Prime Bunny platform.
